Performance r\u00e9alise des formations en pr\u00e9sentiel inter et intra entreprise, des \u00e9tudes<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">et du conseil op\u00e9rationnel aux entreprises, ci-apr\u00e8s d\u00e9sign\u00e9 \u00ab offre de service \u00bb<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">Objet<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">Les pr\u00e9sentes conditions g\u00e9n\u00e9rales de vente, ci-apr\u00e8s \u00ab CGV \u00bb, s\u2019appliquent \u00e0 toutes les offres de service<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">aupr\u00e8s de tout professionnel ci-apr\u00e8s, le \u00ab client \u00bb.<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">Le fait de passer commande implique l\u2019adh\u00e9sion enti\u00e8re et sans r\u00e9serve du Client aux pr\u00e9sentes CGV.<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">Toute condition contraire et notamment toute condition g\u00e9n\u00e9rale ou particuli\u00e8re oppos\u00e9e par le Client ne<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">peut, sauf acceptation formelle et \u00e9crite de Performance, pr\u00e9valoir sur les pr\u00e9sentes CGV. Le Client se<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">porte fort du respect des pr\u00e9sentes CGV pas l\u2019ensemble de ses salari\u00e9s, pr\u00e9pos\u00e9s et agents.<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">Le Client reconnait \u00e9galement que, pr\u00e9alablement \u00e0 toute commande, il a b\u00e9n\u00e9fici\u00e9 des informations et<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">conseils suffisants de la part de Performance, lui permettant de s\u2019assurer de l\u2019ad\u00e9quation de l\u2019Offre de<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">services \u00e0 ses besoins.<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">Dispositions communes aux formations<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">Documents contractuels : Pour chaque action de formation, une convention est adress\u00e9e au Client en<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">deux exemplaires, dont un est \u00e0 retourner par le client sign\u00e9 et rev\u00eatu du cachet de l\u2019entreprise.<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">L\u2019attestation de pr\u00e9sence est adress\u00e9e apr\u00e8s la formation.\u2028En cas de r\u00e8glement par l\u2019OPCA dont d\u00e9pend<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">le Client, il appartient au Client d\u2019effectuer la demande de prise en charge avant le d\u00e9but de la formation<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">aupr\u00e8s de l\u2019OPCA. L\u2019accord de financement doit \u00eatre communiqu\u00e9 au moment de l\u2019inscription. En cas de<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">prise en charge partielle par l\u2019OPCA, la diff\u00e9rence sera directement factur\u00e9e par Performance au client. Si<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">l\u2019accord de prise en charge ne parvient pas au premier jour de la formation, Performance se r\u00e9serve le<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">droit de facturer la totalit\u00e9 des frais de formation au Client.<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">Le r\u00e8glement du prix de la formation est \u00e0 effectuer \u00e0 l\u2019inscription, comptant, sans escompte \u00e0 l\u2019ordre de<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">Performance SARL. Tous les prix sont indiqu\u00e9s hors taxes.\u2028Tout stage ou cycle commenc\u00e9 est d\u00fb en<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">entier. Les repas ne sont pas compris dans le prix de la formation : Ils sont optionnels et sont<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">\u00e9ventuellement factur\u00e9s directement au Client qui se charge le cas \u00e9ch\u00e9ant d\u2019en obtenir le<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">remboursement aupr\u00e8s de son OPCA.<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">Annulation des formations \u00e0 l\u2019initiative du client : En cas d\u2019annulation tardive par le Client d\u2019une formation<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">planifi\u00e9e en commun, des indemnit\u00e9s compensatrices sont dues dans les conditions suivantes :\u2028\u2022Report<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">ou annulation communiqu\u00e9 au moins trente (30) jours ouvr\u00e9s avant la cession : Aucune indemnit\u00e9 \u2022Report<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">ou annulation communiqu\u00e9 moins de trente (30) jours et au moins quinze (15) jours ouvr\u00e9s avant<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">la cession : trente pour cent (30%) des honoraires relatifs \u00e0 la cession seront factur\u00e9s au Client \u2022Report<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">ou annulation communiqu\u00e9 moins de quinze (15) jours ouvr\u00e9s avant la cession : soixante dix pour cent<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">(70 %) des honoraires relatifs \u00e0 la cession seront factur\u00e9s au Client\u2028Performance offre la possibilit\u00e9, sans<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">indemnit\u00e9, de remplacer un participant emp\u00each\u00e9 par un autre participant ayant le m\u00eame profil et les<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">m\u00eames besoins en formation.<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">Disposition applicables \u00e0 l\u2019ensemble des Offres de service de Performance<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">Les frais de d\u00e9placements, les frais de location de salle, de mat\u00e9riel de documentation ainsi que la TVA<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">en vigueur \u00e0 la date de facturation seront factur\u00e9s en sus<\/span><\/p><p style=\"text-align: center;\">\u00a0<\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">L\u2019Offre de service est valable un (1) mois \u00e0 compter de son envoi au Client. L\u2019Offre de services est<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">r\u00e9put\u00e9e accept\u00e9e d\u00e8s la r\u00e9ception par Performance d\u2019une convention de formation ou d\u2019un bon de<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">commande sign\u00e9 par tout repr\u00e9sentant d\u00fbment habilit\u00e9 du Client.<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">En cas d\u2019annulation par le Client d\u2019une prestation planifi\u00e9, moins de quinze (15) jours avant la cession,<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">des indemnit\u00e9s compensatrices sont dues : soixante-dix pour cent (70%) des honoraires relatifs \u00e0 la<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">prestation seront factur\u00e9s au Client\u2028Un acompte de 40% est vers\u00e9 \u00e0 la commande, le solde \u00e0 l&amp;#39;issu de la<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">prestation. Les r\u00e8glements seront effectu\u00e9s \u00e0 r\u00e9ception de facture par virement bancaire.<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">En cas de retard de paiement, Performance pourra suspendre les contrats ou prestations en cours sans<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">pr\u00e9judice ou autre voie d\u2019action.\u2028En cas d\u2019absence de paiement des dettes de sommes d\u2019argent n\u00e9es du<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">pr\u00e9sent contrat, les int\u00e9r\u00eats moratoires pour retard seront dus dans les conditions de l\u2019article 1153 du<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">Code civil. Les int\u00e9r\u00eats seront dus sans qu\u2019une mise en demeure du d\u00e9biteur soit n\u00e9cessaire. Le taux<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">applicable est de neuf pour cent (9 %) par an. Les int\u00e9r\u00eats seront capitalis\u00e9s dans les conditions pr\u00e9vues<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">par l\u2019article 1154 du Code civil, sans qu\u2019il soit besoin de saisir le juge.<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">Responsabilit\u00e9<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">La responsabilit\u00e9 de Performance est express\u00e9ment limit\u00e9e \u00e0 l\u2019indemnisation des dommages directs<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">prouv\u00e9s par le client et plafonn\u00e9e au montant du prix pay\u00e9 par le client au titre de la prestation concern\u00e9e.<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">Force majeure<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">En cas de force majeure, et en particulier de maladie ou d\u2019accident du consultant le contrat est suspendu.<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">Si ces \u00e9v\u00e8nements perdurent, Performance ne pourra \u00eatre tenue comme responsable en cas<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">d\u2019inex\u00e9cution de ses obligations n\u00e9es du contrat.<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">Propri\u00e9t\u00e9 intellectuelle<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">Performance est seule titulaire des droits de propri\u00e9t\u00e9 intellectuelle de l\u2019ensemble des formations,<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">supports qu\u2019elle propose \u00e0 ses clients. Ils ne peuvent \u00eatre utilis\u00e9s, transform\u00e9s, reproduits, transmis ou<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">exploit\u00e9s, sauf autorisation \u00e9crite de Performance. Performance demeure propri\u00e9taire des outils,<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">m\u00e9thodes et savoir-faire d\u00e9velopp\u00e9s ant\u00e9rieurement ou \u00e0 l\u2019occasion d\u2019une prestation chez le Client.<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">Les parties s\u2019engagent \u00e0 garder confidentielles les informations et documents concernant l\u2019autre partie, de<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">quelque nature qu\u2019ils soient pendant une dur\u00e9e de deux (2) ans.\u2028Le Client, ainsi qu\u2019une description<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">objective de la nature des prestations r\u00e9alis\u00e9es, peut \u00eatre cit\u00e9 par Performance aussi bien dans ses offres<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">de services que sur demande r\u00e8glementaire ou l\u00e9gale.<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">Droit applicable &#8211; Attribution de comp\u00e9tence<\/span><\/p><p style=\"text-align: center;\"><span style=\"color: #000000;\">Les pr\u00e9sentes conditions g\u00e9n\u00e9rales sont r\u00e9gl\u00e9es par le droit fran\u00e7ais.
